Terms & Conditions

1. Acceptance of Terms

By accessing or using the SuperSmarts.ai Consulting LLC website, services, products, or consulting offerings, you agree to these Terms and Conditions. If you do not agree, discontinue use immediately. SuperSmarts.ai Consulting LLC ("SuperSmarts.ai" or "SSAI") reserves the right to update these terms at any time. If significant changes occur, SSAI will notify clients by email at least 15 days before the new terms take effect and post them on the SSAI website. Continued use of SSAI services after updates will constitute acceptance.

2. Services and Payment Terms

SSAI provides consulting services, including AI tool recommendations, custom prompt engineering, strategic workshops, and ongoing consulting packages.

Payment Obligations and Methods

  • Payments are due within 30 days of the invoice date.

  • Clients are responsible for all transaction fees incurred during payment processing.

  • SSAI uses Stripe for online bookings, and payment through this platform confirms acceptance of these fees.

Late Payment Policy

  • A one-time grace period of seven (7) calendar days applies to the first late payment without penalties.

  • Thereafter, interest on overdue amounts accrues at 1.5% per month (18% annually).

Service Suspension and Resumption

  • Services may be suspended if payments remain outstanding beyond 30 days.

  • Services resume within three (3) business days of payment resolution unless otherwise agreed.

Reimbursable Expenses

  • Clients agree to reimburse SSAI for pre-approved travel, lodging, or material expenses.

3. Email Support Policy
  • SSAI provides email support based on the client’s selected package.

  • Response times range from 24 to 48 business hours, excluding holidays.

  • SSAI does not provide IT support or external platform troubleshooting.

4. Custom Prompt Definition and Ownership
  • Custom prompts are designed for client-specific use and provided in a copy-paste format.

  • SSAI does not guarantee effectiveness across all AI tools.

  • Clients receive non-exclusive rights to use the prompts internally but may not resell or distribute them without permission.

5. Consulting Call Cancellation and Rescheduling Policy
  • Clients must provide at least 48 hours’ notice to cancel or reschedule consulting calls.

  • Sessions missed without notice will not be refunded.

  • Consulting sessions expire 90 days after purchase unless otherwise agreed.

6. Deliverables and Acceptance Clause
  • Clients have five (5) business days to raise concerns about deliverables.

  • Additional revisions beyond the agreed scope will incur additional fees.

  • Expedited delivery options may be available for an added fee.

7. Refund Policy
  • Refunds for online purchases may be requested within seven (7) calendar days.

  • Deposits are non-refundable except in cases where SSAI cancels the engagement.

  • Refunds for services already provided are not available.

8. Intellectual Property Protections
  • SSAI retains ownership of methodologies and tools used in service delivery.

  • Clients receive ownership of specific project deliverables for internal use only.

  • Unauthorized modification or redistribution of SSAI content is prohibited.

9. Blog and Website Content Use
  • Clients may share SSAI blog content with proper attribution and direct links.

  • Commercial use requires prior written consent from SSAI.

10. Future Product and Merchandise Sales
  • Any future products or digital resources will be subject to additional purchase terms.

  • Digital products are for individual use only and may not be resold.

11. Confidentiality and Non-Solicitation
  • Both parties agree to maintain the confidentiality of shared information.

  • SSAI will obtain written consent before using client testimonials or feedback.

12. Compliance Limitations Clause
  • SSAI’s services are not designed to meet compliance standards for highly regulated industries (e.g., healthcare, finance).

  • Clients are responsible for ensuring regulatory compliance.

13. Indemnification Clause
  • Each party agrees to indemnify and hold harmless the other from claims, liabilities, or damages arising from service use.

  • SSAI disclaims liability for third-party tools and AI-generated outputs.

14. Limitation of Liability
  • SSAI’s total liability is limited to the amount paid by the client for the disputed service.

  • SSAI is not liable for indirect, incidental, or consequential damages.

  • SSAI disclaims liability for the outcomes of third-party AI tool usage.

15. Right to Refuse or Terminate Engagements
  • SSAI reserves the right to refuse or terminate services if a client violates terms or engages in unethical behavior.

16. Service Level Agreement (SLA)
  • SSAI responds to inquiries within 48 business hours, excluding holidays.

  • Delays will be communicated with an updated timeline.

17. AI Tools Disclaimer and Liability
  • AI-generated outputs may be inaccurate or biased, and clients must validate results before application.

  • SSAI does not guarantee performance, security, or compliance of AI tools.

18. Force Majeure Clause
  • SSAI is not liable for service delays due to events beyond reasonable control, such as natural disasters, cyberattacks, or government actions.

19. Governing Law and Jurisdiction
  • These Terms and Conditions are governed by the laws of the State of Colorado.

  • Disputes shall be resolved exclusively in the courts of Denver, Colorado.

  • Mediation is required before litigation, unless waived by both parties.

20. Right to Modify Services and Terms
  • SSAI reserves the right to update services and terms with appropriate notice.

21. Dispute Escalation Process
  • Unresolved disputes will first be escalated internally before mediation.

  • Mediation must be conducted in Colorado unless both parties agree otherwise.

22. Non-Disparagement Clause
  • Both parties agree not to make false or misleading statements that could harm the other's reputation.

23. Data Breach Responsibility
  • SSAI will notify clients within 72 hours of a confirmed data breach.

  • SSAI disclaims liability for security breaches involving third-party platforms.

24. Client Delays Impact Clause
  • SSAI is not responsible for project delays caused by late client responses or approvals.

  • Timeline adjustments due to client delays may require additional fees.

25. Disclaimer of Performance Guarantees
  • SSAI does not guarantee specific results or business outcomes from its services.

  • Clients acknowledge AI tool performance is influenced by external factors beyond SSAI’s control.
